Every company, regardless of its size and number of employees, should have a code of ethics (or business code of conduct). 

The code of ethics is the "constitution" of the company, reflecting its DNA and serving as an essential tool for its attractiveness and competitiveness. ​​​

This code can be independent or, for subsidiaries of foreign groups, adapt the group's code of ethics to the specificities of the French market. 

Who is the code of ethics for? 

The code of ethics is aimed at: 

all employees regardless of their contract (permanent employees, fixed-term employees, temporary workers, apprentices, etc.). 

third parties (suppliers, customers, distributors, intermediaries, etc.) who interact with the company. 

stakeholders: shareholders, unions, local residents, NGOs, local elected officials, public authorities, who may be affected by the company's activities.



What is the purpose of the code of ethics? ​

The code of ethics serves several objectives: ​

  • affirm the values and principles of action of the company: customer satisfaction, teamwork, innovation, quality, CSR, etc... 
  • affirm its commitments to respect laws and regulations in all relevant areas considering the company's activities: business ethics, competition, commercial activities, purchasing, environment, etc... 
  • present the organization and risk management system of the company, detailed in dedicated policies and procedures by themes (e.g. gifts and invitations, conflicts of interest, sponsorship, and patronage).



Is a group code of ethics sufficient for a French subsidiary? 

A French subsidiary of an international group must have its own code of ethics in order to: 


  • adapt the group's code of ethics by taking into account the specificities of the subsidiary. 
  • tailor it to the risks specific to French law through compliance programs dedicated to key topics (business ethics, competition, CSR, etc.). –
  • enhance the subsidiary's attractiveness to its third parties and stakeholders.
